Why Every Business Should Consider Management Liability Insurance

Many businesses insure their buildings, equipment and public liability, yet one of their most significant exposures can arise from the decisions made in running the business. An allegation of wrongful dismissal, breach of duty, regulatory non-compliance or employee dishonesty can trigger substantial defence costs before liability is established.

Management liability insurance is designed to protect directors, officers and managers, and in certain circumstances the company itself, against covered claims connected with the management of the business. It matters because legal and regulatory responsibilities do not begin when a business reaches a particular turnover or workforce. ASIC notes that directors of small proprietary companies usually have hands-on responsibilities and can face legal and financial consequences.

Business size does not remove the exposure

For a family-owned company, a claim can place personal assets and working capital under pressure. A growing employer may face an unfair dismissal, discrimination or harassment allegation. A larger organisation may have more complex reporting lines, a broader workforce and greater regulatory scrutiny. The circumstances differ, but every business makes decisions about people, money, compliance and governance. Those decisions can be challenged.

Smaller businesses can be particularly vulnerable because they often do not have an in-house legal or human resources team. Even when an allegation is successfully defended, the cost of obtaining advice, responding to an investigation and preparing a defence can be significant.

What a policy may cover

Management liability is generally offered as a package. Depending on the insurer and wording, it may include:

  • Directors and officers liability: claims alleging a wrongful act in managing the company, including certain defence costs and personal liability.
  • Company liability: cover for certain claims made directly against the company.
  • Employment practices liability: allegations such as wrongful dismissal, discrimination, bullying or harassment.
  • Statutory liability: defence costs and some penalties arising from unintentional breaches of legislation, where the penalty is legally insurable.
  • Crime cover: direct financial loss arising from specified employee theft, fraud or dishonesty.

Cover is not automatic for every event. Exclusions, excesses, sublimits, retroactive dates and definitions vary. Deliberate or dishonest conduct, known circumstances and some insolvency-related matters may be excluded. Cyber, professional indemnity and workers compensation exposures may also require separate policies.

Making the cover work

Management liability policies are commonly written on a claims-made basis, so early notification of a claim or circumstance is important. Businesses should review their cover when ownership changes, employee numbers grow, new entities are created or operations expand. Accurate disclosure at placement and renewal is equally important.

The right policy should reflect how the business is structured, who makes decisions, the people it employs and the regulations that apply to it. A broker can compare policy wordings, identify gaps and explain how the cover would respond to realistic scenarios.
